Company to Court

Thanks all for such good info on location of company registration. So if our registered office is in ghaziabad, from a capital raise stand point, can we still have agreements in a different jurisdiction say Delhi as opposed to UP courts. more

Dear Ms. Aditi, in general, in respect of Company, the Court of Jurisdiction shall be the state of Registered Office only. However, in respect of some agreements, the parties may choose different Jurisdiction on mutual consent. However, in case of agreements, where more than one parties are involved, a convenient location in respect of parties may be choosen. Like, Delhi shall be more beneficial as compared to Allahabad BUT like it should not be Jammu/ Rajasthan/ Chennai and like. more  
Aditi, Civil Procedure code in section 20 defines jurisdiction qua the Courts. You may have a look at it. You can agree to jurisdiction of a court if other party is carrying on its business for gains or is residing there or you have executed an agreement there. The precise answer would depend upon exact situation... you can agree for a different jurisdiction or you can make other party to bow down to your jurisdiction... depends upon bargaining power of parties. Aditi, as Mritunjay has pointed out, parties can agree in the contract to vest jurisdiction with a court other than where the parties are located or are otherwise 'concerned with the contract'. Also, (in my recollection), the courts of natural jurisdiction (for eg., where the parties are located, where the contract is formed, where the contract is to be performed, etc.) will continue to have jurisdiction over the contract.
