Corporate Governance in India - Inputs on Issues

Good Corporate Governance is critical for sustained growth of the economy and employment. Having an independent board, independent auditor, following accounting norms, or having a business ethics department are some key elements of good corporate governance.

We would like to seek your inputs on all the prevailing issues when it comes to corporate governance.

Once we understand issues, we will work the next steps with the objective of putting a whitepaper together for the Ministry of Finance, SEBI, key industry bodies and other stakeholders so actions can be taken to improve corporate governance in our companies.

We should be first concerned about the Governance which impacts the entire population and stay away from spending energy on corporate governance which does not even impact 5% of the population. Police Reforms, Judicial Reforms and Reforms in the District Administration should be the top priority for the Government and this Circle. I am reminded of the post election experience after Indira Gandhi was voted to power in 1971. The euphoria faded in one year and there was disappointed all over by 1974, which resulted in emergency in 1975. The leadership of the Central Government is heavily relying on such bureaucracy to deliver result, which has failed to deliver during the last 65 years. A lame horse cannot start running if you get a new care taker or rider. A lame horse has to be shot and replaced. more

'RAm RAm japna.. Paraya maal apna' this mentality has to go. Whether paying the workers their dues, quality of work environment.. OR sharing the profits with the shareholders. Companies are always ready to mop up money through IPOs but when it comes to sharing the profits the promoters find it very difficult to do it, as a result a lot of profit is siphoned off in the name of expenses to other companies. With Diaggeo taking control of USL, we have come to know of various things, put that to use. Moreover USL never showed the entire profits, it is very hard to imagine a liquor company with such small net margins, their distributors had Higher margins than they reported. Even providing the customers the right quality products at the right price is something that is very hard for them to achieve, e.g. Maggi and other fast food products, Colas etc. more  
First of all let the Corporate world clear the loans taken from the Banking sector, where in Thousands of crores lying as a dead economy for the last no. of years more  
Good Corporate Governance and ethical business practices are in infant stage in our country. more
